These Terms of Service ("Terms") govern your access to and use of the TradingMixer website, platform, APIs, and related services (collectively, the "Service"), operated by TradingMixer ("TradingMixer," "we," "us," or "our").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old and legally capable of entering into a binding agreement. By using the Service, you represent and warrant that you meet these requirements and that your use of the Service complies with all applicable laws and regulations.

2. Description of the Service

TradingMixer is an order-routing and automation middleware platform that enables users to connect third-party trading, charting, or strategy tools to their own brokerage accounts using APIs, OAuth, webhooks, or similar authorization mechanisms.

The Service submits trade orders solely based on instructions originating from the user or the user's connected third-party tools.

TradingMixer acts solely as a technical service provider and does not review, approve, modify, interpret, or validate trading instructions.

TradingMixer does not:

  • Provide investment advice, recommendations, or opinions
  • Generate trading alerts, signals, or strategies
  • Perform discretionary trading
  • Act as a broker, dealer, investment adviser, or fiduciary
  • Hold, custody, or control user funds or securities

TradingMixer is a technical relay layer only.

3. No Investment Advice

TradingMixer does not provide alerts, signals, research, analysis, or trading advice of any kind.

Nothing on the Service constitutes:

  • Investment advice
  • A recommendation to buy, sell, or hold any security or asset
  • Financial, legal, or tax advice

You are solely responsible for evaluating the suitability, risks, and outcomes of any trading strategy or transaction.

4. User Responsibilities

You are solely responsible for:

  • Configuring all trading strategies, alerts, and order parameters
  • Reviewing and validating automation rules before enabling execution
  • Monitoring your brokerage accounts and trade activity
  • Ensuring compliance with all applicable laws, regulations, and broker agreements

You acknowledge that automated trading can execute orders faster than manual intervention, and errors or misconfigurations may result in unintended trades or losses.

5. Broker Connections and Authorization

TradingMixer connects to third-party brokerages using OAuth tokens, API tokens, or similar authorization credentials.

  • TradingMixer does not store brokerage account passwords
  • TradingMixer may store encrypted access tokens required to maintain authorized connections
  • Access is limited to the minimum required scopes (e.g., account read and order submission)
  • TradingMixer cannot initiate withdrawals, transfers, or fund movements

You may revoke authorization at any time through your broker or TradingMixer settings.

6. Third-Party Services

The Service relies on third-party platforms, brokerages, APIs, exchanges, and data providers that TradingMixer does not control.

TradingMixer is not responsible for:

  • Downtime, outages, or API failures
  • Rejected, delayed, partially filled, or modified orders
  • Execution quality, pricing, slippage, or liquidity
  • Changes to third-party APIs, terms, or availability

All third-party services are used at your own risk and are governed by their respective terms.

7. Automated Trading Risks

You acknowledge and accept that automated trading involves substantial risk, including but not limited to:

  • Software bugs or platform outages
  • API latency, throttling, or failures
  • Broker-side rejections or execution differences
  • Market volatility, slippage, and liquidity constraints
  • Misconfigured strategies, alerts, or order parameters

TradingMixer has no responsibility or liability for trading results, execution quality, or financial outcomes.

Past performance does not guarantee future results. You assume full responsibility for all trading activity conducted through the Service.

8. Fees and Subscriptions

Some features of the Service may require payment.

  • Fees, limits, and billing terms are disclosed at signup or purchase
  • Subscriptions may automatically renew unless canceled
  • Fees are non-refundable except where required by law

TradingMixer reserves the right to modify pricing or plans with reasonable notice.

9. Acceptable Use

You agree not to:

  • Use the Service for unlawful or prohibited trading activity
  • Attempt to reverse engineer, exploit, scrape, or disrupt the Service
  • Circumvent usage limits, rate limits, or security controls
  • Use the Service to manipulate markets or violate broker rules

TradingMixer may suspend or terminate access for violations of this section.

10. Service Availability and Modifications

The Service is provided "as is" and "as available."

TradingMixer may:

  • Modify, suspend, or discontinue any part of the Service at any time
  • Impose usage, rate, or account limits
  • Perform maintenance that may temporarily impact availability

TradingMixer is not liable for interruptions, errors, or data loss resulting from these actions.

11. Disclaimer of Warranties

To the maximum extent permitted by law, TradingMixer disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, reliability, and availability.

The Service may contain errors, delays, interruptions, or inaccuracies.

12. Limitation of Liability

To the maximum extent permitted by law:

  • TradingMixer shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including trading losses or lost profits
  • TradingMixer shall not be liable for losses caused by third-party services, brokers, exchanges, or market conditions
  • TradingMixer's total liability for any claim shall not exceed the fees you paid to TradingMixer in the preceding twelve (12) months.

13. Indemnification

You agree to indemnify and hold harmless TradingMixer, its officers, directors, employees, and affiliates from any claims, damages, losses, liabilities, or expenses arising from:

  • Your use of the Service
  • Your trading activity
  • Your violation of these Terms or applicable laws

14. Termination

You may stop using the Service at any time.

TradingMixer may suspend or terminate access immediately if:

  • You violate these Terms
  • Continued access poses legal, security, or operational risk

Termination does not relieve you of obligations incurred prior to termination.

15. Intellectual Property

All software, APIs, trademarks, branding, and content associated with the Service are the property of TradingMixer or its licensors.

You are granted a limited, non-exclusive, revocable license to use the Service in accordance with these Terms.

16. Governing Law

These Terms are governed by the laws of the State of Washington, without regard to conflict-of-law principles.

Any disputes shall be resolved exclusively in the state or federal courts located in Washington.

17. Changes to These Terms

TradingMixer may update these Terms from time to time. Continued use of the Service after changes become effective constitutes acceptance of the updated Terms.
